Job Description

OBJECTIVE:

This role within HO-Legal Department would be responsible to manage the implementation of all aspects of the corporate governance function, including implementation and management of the corporate governance framework at the company.

KEY RESPONSIBILITIES:

  • Supervises the development of and management of the identification and evaluation of the best practice policies in the company’s corporate governance.
  • Acts as the functional lead on all governance related matters.
  • Manages the process for developing governance policies and procedures and obtaining the approval from the pertinent authorities.
  • Oversees and coordinates implementation and management of entire corporate governance function, including implementation of processes, tools and systems to identify, assess, measure, manage, monitor and report corporate governance risks.
  • Undertakes and performs corporate governance related procedures, including identifying and defining issues with the supervision of VP/GC.
  • Communicates complex situations to VP/GC for instructions and guidance.
  • Leads the development and improvement of corporate governance reporting.
  • Oversees and manages corporate governance related project plans, action plans, presentations and project results for VP/GC.
  • Ensures the implementation the company’s corporate governance framework.
  • Ensures the program is effectively integrated into the culture and business practices of the company.
  • Advises on the corporate governance best practices in an appropriate way for different audiences.
  • Monitors major and critical corporate governance issues.
  • Report on the impact of new and existing legislation and highlight impact on the Corporate Governance framework of the company/group.
  • Drives and rolls out education and training session for senior management to build awareness of the corporate governance framework within the organization.
  • Leads corporate governance risk assessment, which involves analyzing risks as well as identifying, describing and estimating the corporate governance risks affecting the business.
  • Provides direct supervision to direct report(s) including the objective settings, performance management as well as motivating coaching and training.
  • Uses innovative solutions to facilitate not just a process but a mindset changes or improvement at multiple functional levels.

 

 

Skills

JOB REQUIREMENT

  • Master’s degree from an accredited university in Corporate Governance, Management, Corporate Law or related fields is a must.
  • Professional qualification in corporate governance is a must.
  • Proficiency in English language is a must. French and Arabic would be an asset.

  • Demonstrates an excellent understanding of corporate governance issues in group of companies.
  • Demonstrates a good understanding of multilateral development of group policies, strategies and operational issues.
  • Demonstrates sound research, analytic and drafting skills and the ability to interpret business processes into legally sound documents.
  • Able to interact confidently with senior management showing adequate facilitation skills.
  • Executes effectively, planning own outputs and meet specified deadlines.
  • Reveals outstanding interpersonal and persuasion skills with the ability to communicate and interact at all levels effectively, professional, diplomatic, cordial and collaborate sensitively with others.
  • Advanced MS office knowledge, sound and skillful meeting and presentation skills.
